What Each Company Status Means – and What It Means for You
Company status is not just a label. Each status has specific legal implications for anyone dealing with that entity. Here is what each status means in plain terms:
Active
The company is currently registered and in good standing with SSM. It has not been struck off, dissolved, or placed under any insolvency proceedings. An Active status confirms the entity legally exists and is capable of entering contracts, employing staff, and holding assets. However, Active does not mean the company is filing-compliant – a company can be Active and still have outstanding annual returns.
Dormant
A dormant company is one that has had no significant accounting transactions during a financial year and has formally declared this to SSM. A dormant company still legally exists – it can be reactivated at any time. Dormancy is a choice, not a default – the company's directors have proactively notified SSM. You can still enter a contract with a dormant company, but you should confirm whether it intends to become active before your transaction is complete.
Struck Off
A struck-off company has been removed from the SSM register, typically because it failed to file annual returns for a prolonged period. A struck-off company no longer legally exists. It cannot enter contracts, hold assets, open bank accounts, or conduct business. If a company you are dealing with shows as Struck Off, stop all commercial engagement immediately. Directors of struck-off companies may retain personal liability for obligations incurred before the company was removed.
Wound Up
A wound-up company has gone through a formal liquidation process, either voluntarily by its members and creditors, or compulsorily through a court order. Its assets have been realised, its debts have been settled in order of priority, and the company has been formally dissolved. Like a struck-off company, a wound-up company no longer legally exists. Entering a contract with a wound-up entity is not legally possible.
Under Receivership
A company under receivership has had a receiver appointed, typically by a secured creditor – to manage and realise its assets in order to recover a debt. The company may still be trading under the receiver's control, but its management has effectively been taken over. If you are a supplier or creditor to a company under receivership, payment priorities are determined by the receiver according to the order of secured and unsecured claims.
Under Liquidation
Under Liquidation is the active phase of a winding-up proceeding, the liquidator is in the process of realising assets and settling debts. The company is winding down but has not yet been formally dissolved. Commercial transactions with a company under liquidation are generally not advisable – the liquidator controls all assets and any payments made may be subject to clawback.
